What deed drafting covers
A deed is the written record of what parties agreed. Its value is tested only when something goes wrong — a partner exits, a family disputes a bequest, a customer refuses to pay, the department questions a transaction. At that moment, a document assembled from an internet template usually turns out to be silent on precisely the point in dispute.
We draft partnership deeds, wills, agreements, MOUs and legal documentation with precision. The documents we prepare most often include:
- Partnership deeds — formation, profit-sharing ratios, capital and interest on capital, partner remuneration structured to satisfy section 40(b), admission and retirement of partners, dissolution and reconstitution deeds
- Wills — simple and detailed testamentary documents with executor appointment, residuary clauses and attestation done correctly
- Gift deeds and family settlement or family arrangement deeds
- Rent and lease agreements for residential and commercial premises
- Memoranda of Understanding and letters of intent for commercial arrangements
- Service, vendor, consultancy and freelance agreements with clear scope, payment terms and termination provisions
- Loan agreements, promissory notes and acknowledgements of debt
- Non-disclosure and non-compete agreements
- Trust deeds and society memoranda — covered in detail under trust and 12A/80G registration in Delhi
- Affidavits, indemnity bonds, declarations and authority letters
- Sale agreements and agreements to sell for movable and immovable property
Who needs deeds drafted
- Business partners in Delhi forming a firm, changing profit shares, or admitting a new partner — the deed governs the tax treatment of remuneration and interest as much as the commercial relationship.
- Families planning succession, dividing property between siblings, or recording a settlement that everyone has verbally agreed but nobody has written down.
- Landlords and tenants in Rohini and across Delhi who need an agreement that anticipates rent revision, maintenance, notice and security deposit refund.
- Businesses engaging vendors or consultants where scope creep and payment disputes are the predictable failure modes.
- Anyone lending money privately, where an undocumented loan is often unenforceable and creates income tax questions on both sides.
- Founders and shareholders documenting arrangements alongside their company registration in Delhi NCR.
Our drafting process
- Understanding the transaction. We ask what the parties have actually agreed, including the parts nobody has thought about yet — what happens if one side wants out, what happens on death, what happens if payment is late.
- Identifying the pressure points. Every document type has a small set of clauses that determine what happens in a dispute. We identify those for your document and get explicit instructions on each.
- Tax and compliance review. Deeds have tax consequences. Partner remuneration must satisfy section 40(b) limits to be deductible; gifts and family settlements have their own treatment; rent agreements trigger TDS obligations above a threshold. We check these before drafting, not afterwards.
- Drafting. The document is written in plain, unambiguous language with defined terms used consistently, and every operative clause traceable to an instruction you gave.
- Review with the parties. We walk you through the draft clause by clause, explain the consequence of each material provision, and revise until it reflects the actual bargain.
- Execution guidance. We advise on the correct stamp duty for Delhi, whether registration is compulsory or optional, how many witnesses are needed, and how the document should be signed and dated.
Information and documents required
- Full names, parentage, ages, occupations and addresses of every party
- PAN and Aadhaar of each party
- A clear statement of the commercial or family arrangement being recorded
- For partnership deeds: capital contributions, profit-sharing ratios, remuneration and interest terms, business address and firm name
- For property-related deeds: title documents, previous deed or allotment letter, property tax receipts and the property's precise description
- For wills: a schedule of assets, intended beneficiaries and their shares, and the proposed executor
- For commercial agreements: scope of work, payment schedule, duration, termination triggers and any confidentiality requirement
- Any earlier deed being superseded, amended or reconstituted
Why choose us for drafting in Rohini
A chartered accountancy firm brings something specific to drafting: awareness of what the document does to your tax position. A partnership deed that omits the remuneration clause required by section 40(b) makes partner salary non-deductible for the firm. A family settlement drafted loosely can be recharacterised as a transfer. A rent agreement that does not address TDS leaves the tenant exposed. These are not points that a generic template addresses, and they are not points that surface until an assessment.
We also draft for the failure case. The question we keep returning to during drafting is not "does this describe what we agreed?" but "what does this document say when the parties are no longer on good terms?" A document that answers that question clearly is worth many times what it costs.
Our fees are transparent and quoted upfront based on the scope of work, with no hidden charges, and are quoted per document after we know what it needs to do.
Deeds rarely stand alone. Partnership formation usually needs GST registration and bookkeeping set up at the same time; succession documents connect to investment and estate advisory; and the tax consequences of any deed flow into income tax return filing in Delhi. Frequently asked questions about deed drafting
Does a partnership deed have to be registered?
Registration of a partnership firm with the Registrar of Firms is optional under the Indian Partnership Act, but an unregistered firm faces significant disadvantages — notably restrictions on its ability to enforce contractual rights through the courts. Separately, the deed must be on appropriate stamp paper to be admissible in evidence. We generally recommend registration.
Does a will need to be registered to be valid?
No. A will is valid without registration provided it is in writing, signed by the testator, and attested by two witnesses who saw the testator sign. Registration is optional but useful, because it makes the document harder to challenge on grounds of authenticity and creates an official record of its existence.
What stamp duty applies to my document in Delhi?
Stamp duty depends on the type of instrument and, for property-related documents, on the value involved, and rates are set by the Delhi stamp legislation. We advise on the applicable duty for your specific document as part of the engagement, so the deed is executed on correct stamp paper and is not later found insufficiently stamped.
Can you draft a deed if the parties are in different cities?
Yes. Drafting itself is done remotely through document exchange and video discussion, and we serve clients across India this way. Only execution — signing on stamp paper before witnesses, and registration where required — needs the parties physically present, and we advise on how to sequence that.
Can you review a deed someone else has drafted?
Yes, and this is often worth doing before you sign anything drafted by the other side. We review for missing clauses, ambiguity, tax exposure and provisions that are unusually one-sided, and give you a written note of what to negotiate.
How long does drafting take?
A straightforward document such as a rent agreement or a simple partnership deed is usually ready within two to three working days of receiving complete instructions. Complex family settlements, multi-party agreements and detailed wills take longer, because the time goes into resolving the arrangement itself rather than into writing it.
